Liquidity management tools and other prospectus updates in SEB ELTIF

Summary of investors' rights 

The Board of Directors of SEB ELTIF has updated the General Part of the SEB ELTIF prospectus to reflect the availability of liquidity management tools, including redemption fees and redemption gates. Liquidity management tools became a legal requirement for Luxembourg-domiciled funds on 16 April 2026. Additional updates have also been made to the prospectus. These changes took effect on 22 July 2026.

General updates to SEB ELTIF

To ensure the fair treatment of shareholders and protect their collective interests, a Sub-Fund may apply redemption fees when significant outflows result in increased transaction costs. This means that investors who redeem their shares may bear the transaction costs generated by those redemptions. This helps ensure that investors who remain in the Sub-Fund do not bear costs created by other investors' redemptions.

A section on the use of redemption gates has been added. Redemption gates are limits on the amount investors in a Sub-Fund may redeem on a valuation day. Unless otherwise specified in the relevant Special Part of a Sub-Fund, when a redemption gate is applied, redemption requests exceeding the applicable threshold on a redemption day may not be executed. Any unprocessed portion will be carried forward and executed on the next redemption day, subject to the same limitation.

In addition, Katarina Höller has replaced Caroline Rifall on the Board of Directors of SEB ELTIF.

The prospectus has also been updated to include administrative, drafting and consistency-related changes.

Specific update for SEB ELTIF – Capital Four Private Debt

For SEB ELTIF – Capital Four Private Debt, a Liquidity Management section has been added to reflect the Sub-Fund’s liquidity management tools, while the Investment Restrictions and Limitations section has been updated to reflect regulatory requirements introduced under the amended AIFM Directive for loan-originating alternative investment funds.
