Summary of investors' rights

The Board of Directors of SEB ELTIF has decided to amend the prospectus of SEB ELTIF. The amendments relate to the method used to calculate and accrue the Management Fee and the Investment Management Fee for SEB ELTIF – Capital Four Private Debt. The prospectus has been updated as of October 2026.

Change to the fee calculation methodology

Currently, the Management Fee and the Investment Management Fee are calculated and accrued on each Valuation Day using the latest available net asset value (NAV). Under the amended methodology, the latest available NAV will be adjusted to reflect subscriptions and redemptions received since that valuation.

This means that the basis used to calculate the fees will more closely reflect changes in the assets of the relevant share class between valuations, as a result support the fair treatment of the investors.

The applicable fee rates and the quarterly payment of the fees in arrears remain unchanged.

The prospectus has also been updated with limited administrative, drafting and consistency-related changes.

Effective date

The amendments will take effect on 27 October 2026, subject to any required regulatory approval.

How the changes affect you as an investor

If you are an investor in SEB ELTIF – Capital Four Private Debt, you do not need to take any action. The amendment changes the basis used to calculate the Management Fee and the Investment Management Fee but does not change the applicable fee rates. It is believed that the changes are in the best interests of the investors.
