SEB Active Owners Impact Fund merges with SEB Listed Private Equity Fund

SEB Alternative Strategies SICAV will merge SEB Alternative Strategies SICAV – SEB Active Owners Impact Fund with SEB SICAV 2 – SEB Listed Private Equity Fund, effective 27 June 2025. 

The merger is being undertaken due to persistently low investor interest in SEB Alternative Strategies SICAV – SEB Active Owners Impact Fund, the merging sub-fund, and insufficient assets under management to ensure efficient fund operation. As a result, we are providing unitholders of the merging sub-fund with the opportunity to transition to a larger sub-fund that follows a similar investment strategy.

How you as an investor are affected

SEB SICAV 2 – SEB Listed Private Equity Fund will be the receiving sub-fund in the merger, while SEB Alternative Strategies SICAV – SEB Active Owners Impact Fund will be dissolved as the merging sub-fund. As an investor in the merging sub-fund, your investment will automatically transition to SEB SICAV 2 – SEB Listed Private Equity Fund following the merger.

You are not required to take any action concerning this merger. The value of your investment(s) will not be affected, but it is important for you to be aware of the merger. 

Both funds have similar investment strategies and portfolio holdings. SEB Active Owners Impact Fund is classified as an Article 9 fund under the SFDR, meaning it has a sustainable investment objective, with at least 70% allocated to sustainable investments. SEB Listed Private Equity Fund is classified as an Article 8 fund, promoting environmental or social characteristics, with a minimum of 20% sustainable investments.

Trading information

If you wish to redeem your holdings in the merging fund before the merger takes place, the following timeframe applies:

Important dates

  • 30 April 2025: After cut-off time on 30 April, the merging sub-fund closes for transactions.
  • 27 June 2025: The net asset value and the exchange ratio for the merging sub-fund are calculated. The merger takes effect. 

As usual, no fees are charged for purchases or sales in the sub-fund. The merger will not result in any tax implications for you as a participant. Note that redemption can result in taxation. Kindly consult your financial advisor.
