The SEB SICAV 2 umbrella includes the sub funds SEB Eastern Europe Small and Mid Cap Fund, SEB Listed Private Equity Fund, and SEB Nordic Small Cap Fund. The updated prospectus is available as of 2 December 2021.
Investors are not materially impacted by these changes and are not required to act. Kindly note that no changes have been made to any of the sub funds in the umbrella.

Changes to prospectus
Benchmark: The prospectus will include detailed information about the benchmark index for the sub funds SEB SICAV 2 – SEB Eastern Europe Small and Mid Cap Fund, and SEB SICAV 2 –Nordic Small Cap Fund. No changes have been made. Benchmark information is included for the sake of transparency.
Efficient portfolio management (EPM) techniques: The sub funds in the SICAV 2 umbrella do not use EPM techniques, so we have removed this section of the prospectus text. Naturally, management of the sub funds is conducted in as efficient manner as possible.
Performance fee for SEB SICAV 2 – SEB Nordic Small Cap: To satisfy regulatory requirements, crystallisation frequency for the performance fee will be changed from daily to yearly. This is the frequency at which the accrued performance fee, if any, becomes payable to the management company. We have also included illustrative examples of performance fee calculation, and a statement that the sub fund may charge a performance fee in certain cases of negative performance.
Disclosure for German investors: Specific information to investors in Germany have been included at the end of the prospectus. This information was previously disclosed only in the prospectus offered to German investors. The content of this information remains the same.
Additional alterations to the prospectus: Updated names of Board members, list of new management type share class, and updated list of existing share classes.

Wir nehmen eine Aktualisierung des Prospekts für den SEB SICAV 2 vor, um den aufsichtsrechtlichen Anforderungen zu entsprechen und eine höhere Transparenz zu erzielen.

Erfolgsabhängige Gebühr für den SEB SICAV 2 – SEB Nordic Small Cap: Um die aufsichtsrechtlichen Anforderungen zu erfüllen, wird die Häufigkeit der Kristallisierung der erfolgsabhängigen Gebühr von täglich in jährlich geändert. Das bedeutet, dass eine gegebenenfalls aufgelaufene erfolgsabhängige Gebühr künftig einmal jährlich an die Verwaltungsgesellschaft zu zahlen ist. Zur Veranschaulichung haben wir auch Beispiele für die Berechnung der erfolgsabhängigen Gebühr angegeben sowie einen Hinweis darauf, dass der Teilfonds in bestimmten Fällen einer negativen Performance eine erfolgsabhänige Gebühr erheben kann.
